End User License Agreement (EULA)

Account Simple Online EULA

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Account Simple LLC ("Company" or "we" or "us"), the owner of the Account Simple web application ("Software" or "Service"). By accessing or using the Software, you agree to be bound by the terms and conditions of this EULA.

1. License Grant
The Company grants you a non-exclusive, non-transferable, revocable license to access and use the Software strictly in accordance with this EULA.

2. Restrictions
You agree not to, and you will not permit others to:

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies of it.

The Software is provided "as is" and "as available", with all faults and without warranty of any kind. The Company disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

7. Limitation of Liability
To the maximum extent permitted by law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Software.

8. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the state of Oregon, USA, without regard to its conflict of law principles.

9. Changes to this Agreement
We reserve the right, at our sole discretion, to modify or replace this EULA at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
