Version: 1.5 | Effective Date: 2026-08-23
Account Simple Online - Terms of Service
Version 1.0 | Effective Date: April 12, 2026
This document contains the End User License Agreement (EULA) and Privacy Policy for Account Simple Online, operated by Account Simple LLC ("Company", "we", "us"). By creating an account or using the Service, you agree to both.
========================================
PART I - END USER LICENSE AGREEMENT
========================================
This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User", "Customer", or "you") and Account Simple LLC ("Company", "we", or "us"), the owner of the Account Simple Online web application ("Software" or "Service"). By accessing, creating an account, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.
----------------------------------------
1. DEFINITIONS
"Software" / "Service" means the Account Simple Online web-based bookkeeping application, including all features, APIs, updates, and accompanying documentation.
"Customer Data" means all financial records, transaction history, account information, documents, and other data that you upload, enter, or generate through the Service.
"Subscription" means the paid plan that grants you access to the Service for a defined billing period.
"Aggregated Data" means anonymized, de-identified data derived from Customer Data that cannot reasonably be used to identify any individual or company.
"Successor" means any entity that acquires, merges with, or otherwise succeeds to the business or assets of Company.
----------------------------------------
2. LICENSE GRANT
Subject to your compliance with this Agreement and, where applicable, timely payment of all fees, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business bookkeeping purposes.
The Service is offered under a free Basic plan and one or more paid Premium plans. Basic access does not require payment. Certain features are available only with an active paid Subscription, as identified within the Service.
This license does not include any right to resell, sublicense, or make the Software available to any third party.
----------------------------------------
3. RESTRICTIONS
You agree not to, and will not permit others to:
- License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software.
- Modify, copy, translate, adapt, merge, create derivative works of, disassemble, decompile, decrypt, or reverse-engineer any part of the Software.
- Access the Software to build a similar, competitive, or substitute product or service.
- Remove, alter, or obscure any proprietary notices or branding on the Software.
- Use automated means (bots, scrapers, crawlers) to access or extract data from the Software without prior written consent.
- Use the Software to store or transmit malicious code, infringing content, or unlawful data.
- Attempt to gain unauthorized access to any systems or data associated with the Software.
----------------------------------------
4. OWNERSHIP & INTELLECTUAL PROPERTY
The Software is licensed, not sold. Company retains all right, title, and interest in and to the Software, including all associated intellectual property rights (copyrights, trademarks, patents, trade secrets, and other proprietary rights).
You retain all ownership of your Customer Data. Company does not claim ownership of any Customer Data you submit to the Service.
----------------------------------------
5. USER DATA & DATA OWNERSHIP
You own your data. Customer Data you enter into the Service remains your property at all times. Company acts solely as a data processor on your behalf.
You grant Company a limited, non-exclusive, royalty-free license to access, process, store, and use your Customer Data solely for the purpose of providing and improving the Service.
You are responsible for the accuracy, legality, and appropriateness of all Customer Data you submit.
Upon termination of your Subscription, you may export your Customer Data during the 30-day grace period. After that period, Company may delete your Customer Data in accordance with its data retention policies.
5.1 In-Service Retention of Deleted Items
When you delete a transaction or an account within the Service, the item is soft-deleted and retained for thirty (30) days. During that window you (or a user with the appropriate role) may restore it. After thirty (30) days the item is permanently removed by an automated process and cannot be recovered.
Because every transaction in the Service is double-entry (it references two accounts — a credit side and a debit side), the permanent removal of an account also permanently removes every transaction, split transaction, and rule that referenced that account on either side. As a result, permanently purging one account may change the historical balances and reports of other, still-active accounts that shared transactions with it. You should export or reconcile any data you wish to preserve before the thirty-day window elapses.
System-managed accounts used internally by the Service (including but not limited to "~INIT", "~SPLIT", and "~NONE") are exempt from this purge and are never deleted.
----------------------------------------
6. DATA SECURITY
Company implements commercially reasonable administrative, technical, and physical safeguards to protect Customer Data, including encryption in transit (TLS), access controls, secure servers, and regular security reviews.
No method of transmission over the Internet or electronic storage is 100% secure. Company cannot guarantee absolute security and shall not be liable for any breach outside its reasonable control.
You are responsible for maintaining the confidentiality of your account credentials. Notify Company immediately of any unauthorized use of your account.
----------------------------------------
7. NO SALE OF CUSTOMER DATA
Company does not sell, rent, or trade your Customer Data to third parties for their own marketing or commercial purposes. Customer Data is used solely to deliver, maintain, and improve the Service.
Transfer of Customer Data in connection with a sale, merger, acquisition, or other change of control of Company is expressly permitted under Section 22 and does not constitute a "sale" of Customer Data. The acquiring entity shall be required to honor the material privacy commitments of this Agreement.
----------------------------------------
8. DATA AGGREGATION & ANALYTICS
Company may derive Aggregated Data from Customer Data for service improvement, analytics, performance optimization, internal research, and storage consolidation. Aggregated Data is stripped of personally identifiable information and cannot be traced back to any individual or company.
Company retains ownership of all Aggregated Data and may use it for any lawful business purpose. Any Successor inherits the right to continue aggregating data under these same terms.
----------------------------------------
9. THIRD-PARTY SERVICES & INTEGRATIONS
The Service may integrate with or link to third-party services, including payment processors (Stripe), banking data providers (Plaid), and cloud infrastructure (AWS). These are governed by their own terms and privacy policies.
Company is not responsible for the availability, accuracy, or content of third-party services. Company may add, modify, or discontinue integrations at any time without liability.
----------------------------------------
10. ACCEPTABLE USE POLICY
You agree to use the Service only for lawful purposes and in compliance with all applicable laws. You agree not to:
- Use the Service for fraudulent financial activities, money laundering, or regulatory violations.
- Introduce viruses, malware, or harmful code into the Service.
- Use the Service in a way that damages, disables, or overburdens Company's systems.
- Impersonate any person or entity.
- Collect or harvest information from the Service for unauthorized purposes.
Company reserves the right to suspend or terminate your account without refund for violations of this policy.
----------------------------------------
11. SUBSCRIPTION, BILLING & PAYMENT
Access to the Service is offered under a free Basic plan and one or more paid Premium plans. Basic access does not require payment. Premium features require an active paid Subscription. By subscribing to a Premium plan, you authorize Company to charge your payment method on a recurring basis (monthly or annually, as selected) until cancelled.
All Subscription fees are due in advance and are non-refundable except as required by applicable law. No partial refunds are provided for unused time within a billing period.
If a Subscription is purchased for a specific company within the Service, it applies only to that company. Where you operate multiple companies within the Service, each company may have its own separate Subscription and billing arrangement.
Company may change pricing with at least 30 days' prior notice. Continued use after the effective date of the change constitutes acceptance of the new pricing. You may cancel a Subscription before the effective date of a price change to avoid being charged at the new rate.
Payment processing is performed by Stripe. Company does not store full payment card details; card data is handled by Stripe under its own terms and security standards.
If payment fails, Company may suspend Premium access until the issue is resolved. A brief grace period may be provided following a failed payment before Premium features are disabled. By authorizing recurring payments during signup, you acknowledge that charges will continue until you cancel through your account settings.
----------------------------------------
12. SERVICE AVAILABILITY & MAINTENANCE
Company will use commercially reasonable efforts to maintain Service availability, but the Service is provided on an "as available" basis without guarantees of uninterrupted or error-free operation.
Company may perform scheduled or emergency maintenance that temporarily reduces access. Company is not liable for losses arising from downtime or maintenance windows.
----------------------------------------
13. TERMINATION
By You: You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused time.
By Company: Company may suspend or terminate your access immediately, without prior notice, if you breach any material term of this Agreement, fail to pay amounts due, or use the Service for unlawful or abusive purposes.
Effect of Termination: Upon termination, your right to access the Service ceases immediately. You remain liable for all amounts owed up to the termination date. Sections 4, 5, 7, 14, 15, 16, 17, 18, 20, 21, and 22 survive termination.
Data Export: You have 30 days following termination to export your Customer Data. After this period, Company may permanently delete your data.
----------------------------------------
14. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. COMPANY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
COMPANY DOES NOT WARRANT THAT: (i) THE SERVICE WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (iv) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
----------------------------------------
15. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
COMPANY'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF: (i) THE TOTAL AMOUNTS PAID BY YOU TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (ii) ONE HUNDRED DOLLARS ($100.00 USD).
----------------------------------------
16. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Company and its officers, directors, employees, agents, and affiliates from and against all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Service.
- Your violation of any provision of this Agreement.
- Your violation of any applicable law or regulation.
- Your Customer Data, including any claim that it infringes any third-party right.
----------------------------------------
17. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to its conflict of law principles.
You consent to the exclusive personal jurisdiction of, and venue in, the state and federal courts located in Oregon for any dispute arising from this Agreement, and waive any objection to such jurisdiction or venue.
----------------------------------------
18. DISPUTE RESOLUTION
Informal Resolution: Before any formal legal proceeding, both parties agree to attempt informal resolution by contacting Company at support@accountsimple.online. Company will attempt in good faith to resolve the dispute within 30 days.
Arbitration: If informal resolution fails, disputes shall be settled by binding arbitration in Oregon, USA, in accordance with the rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: Any proceeding shall be conducted on an individual basis and not as a class, consolidated, or representative action.
Exceptions: Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights or breach of confidentiality obligations.
----------------------------------------
19. CHANGES TO THIS AGREEMENT
Company reserves the right to modify this Agreement at any time. If a revision is material, Company will provide at least 30 days' prior notice via email or in-application notice before the new terms take effect.
Your continued use of the Service after the effective date constitutes your acceptance of the revised terms. If you do not agree, you must discontinue use of the Service prior to the effective date.
----------------------------------------
20. SEVERABILITY & GENERAL PROVISIONS
Severability: If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary, or severed if it cannot be modified. Remaining provisions continue in full force.
Waiver: No failure or delay by either party in exercising any right constitutes a waiver of that right.
Force Majeure: Company shall not be liable for failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, government actions, pandemics, Internet outages, or third-party service failures.
Notices: Legal notices to Company must be sent to support@accountsimple.online. Company may provide notices via your registered email address or in-application notifications.
----------------------------------------
21. ENTIRE AGREEMENT
This Agreement, together with the Privacy Policy set forth in Part II, constitutes the entire agreement between you and Company with respect to the Service and supersedes all prior agreements, representations, and understandings.
No amendment shall be binding unless made in writing and either signed by an authorized representative of Company or posted pursuant to Section 19.
----------------------------------------
22. ASSIGNMENT & TRANSFER OF RIGHTS
22.1 Company Right to Assign
Company may assign or transfer this Agreement, in whole or in part, and any rights or obligations hereunder, without your consent and without prior notice (except as required by applicable law), including in connection with:
- A merger, consolidation, or reorganization of Company.
- An acquisition of Company or a controlling interest in Company.
- A sale of all or substantially all of Company's assets or business.
- Any other change of control of Company.
22.2 No Customer Consent Required
No approval, consent, or authorization from you or any other Customer is required for Company to effect any assignment or transfer described in Section 22.1. Any such assignment shall be valid and binding upon you without further action. Company is not required to provide prior notice of such assignment except where required by law.
22.3 Successors Bound by Terms
This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Any Successor that acquires Company's business or the Service inherits the same rights, limitations, and obligations under this Agreement as Company, including all license rights, data processing rights, and restrictions.
22.4 Data Transfer on Sale
In connection with any assignment or change of control, Customer Data may be transferred to the acquiring or successor entity as part of the business assets being transferred. You hereby acknowledge and agree to such transfer, and you agree that such transfer does not constitute a breach of this Agreement or the Privacy Policy.
22.5 Privacy Continuity
Any acquiring or successor entity that receives Customer Data pursuant to Section 22.4 shall be required, as a condition of such transfer, to honor the material privacy commitments set forth in this Agreement and the Privacy Policy, including the prohibition on selling Customer Data to third parties for their own commercial purposes as described in Section 7.
22.6 Customer Assignment Restriction
You may not assign, transfer, delegate, or sublicense this Agreement or any of your rights or obligations hereunder without the prior written consent of Company. Any purported assignment in violation of this section shall be null and void. Company may withhold consent in its sole discretion.
Account Simple Online - Terms of Service Amendment
Version 1.1 | Effective Date: August 19, 2026
This amendment supplements and forms part of the Account Simple Online Terms of Service Version 1.0. If this amendment conflicts with Version 1.0, this amendment controls.
----------------------------------------
11.1 INVOICER CREDIT CARD PROCESSING FEE
When you use the Service's invoicer or point-of-sale features to accept a credit card payment from your customer through a connected Stripe account, your business is the merchant of record and the payment is processed as a direct charge on your connected Stripe account.
Account Simple LLC charges an application fee equal to 0.05% of the gross credit card payment amount. The application fee is calculated for each charge, rounded to the nearest cent, and omitted when the calculated fee rounds to less than one cent. Stripe deducts and transfers this application fee to Account Simple LLC as part of processing the charge.
The Account Simple application fee is separate from Stripe's processing, dispute, currency-conversion, payout, and other fees. You remain responsible for all Stripe fees and for compliance with your agreement with Stripe.
When a credit card payment is partially or fully refunded through the Service, the corresponding Account Simple application fee will be refunded proportionally. Stripe's own fees may not be returned and remain subject to Stripe's terms and policies.
Account Simple Online - Terms of Service Amendment
Version 1.2 | Effective Date: August 19, 2026
This amendment supplements and forms part of the Account Simple Online Terms of Service Version 1.0 and Amendment Version 1.1. If this amendment conflicts with an earlier version, this amendment controls.
----------------------------------------
11.2 OPTIONAL CUSTOMER-PAID CARD PROCESSING FEE
A business using the Service may choose to charge eligible customers a card processing fee through the invoicer or point-of-sale features. This feature is disabled by default. The business remains the merchant of record and is responsible for determining whether surcharging is permitted for each transaction under applicable law, card-network rules, and its agreement with Stripe.
The business configures an estimated Stripe processing percentage and fixed amount. Account Simple adds its 0.05% application-fee component described in Amendment Version 1.1. Each component is calculated in cents and rounded to the nearest cent. The combined customer fee is limited to the configured maximum and any stricter limit enforced by the Service. A configured estimate may differ from Stripe's actual processing fee.
The fee applies only when the Service can identify an eligible credit card. Debit cards, prepaid cards, cash, and checks are not charged this fee. If eligibility or compliance cannot be established, the business must absorb the processing costs or offer another payment method.
Before a card charge is confirmed, the customer must be shown the base invoice or deposit amount, estimated processor component, Account Simple 0.05% component, total card fee, and total card charge. The customer must expressly consent to that disclosed total. Cash and check remain fee-free alternatives when offered by the business.
The customer-paid fee does not change the face value, taxable subtotal, or sales tax shown on the invoice. The Service records the invoice payment and fee-recovery amount separately. The business is responsible for determining whether a fee is taxable in its jurisdiction and for configuring its accounting records appropriately.
For a partial or full refund processed through the Service, refundable customer-paid fee and Account Simple application-fee amounts are calculated proportionally in whole cents and cannot exceed the remaining recorded amount of each component. Stripe fees remain governed by Stripe's terms and may not be returned.
By enabling this feature, the business confirms that it has reviewed its legal and card-network obligations, configured a lawful maximum, and will keep its settings current. Account Simple may disable the feature where it is prohibited or where a compliant charge cannot be calculated.
Account Simple Online - Terms of Service Amendment
Version 1.3 | Effective Date: August 19, 2026
This amendment supplements and forms part of the Account Simple Online Terms of Service Version 1.0 and Amendments Version 1.1 and Version 1.2. If this amendment conflicts with an earlier version, this amendment controls.
----------------------------------------
11.3 ACCOUNT SIMPLE APPLICATION-FEE PRICING
Account Simple LLC charges an application fee equal to 0.1% of the gross credit card payment amount for each credit card transaction processed through the Service's invoicer or point-of-sale features. The application fee is calculated for each transaction and rounded to the nearest cent. If the calculated application fee is less than one cent, a minimum application fee of one cent applies.
This pricing replaces the 0.05% application-fee rate and the less-than-one-cent omission described in Amendment Version 1.1. All other terms governing Stripe fees, merchant-of-record responsibilities, customer-paid card fees, disclosures, eligibility, accounting, and proportional refunds remain in effect.
When an eligible customer-paid card processing fee is enabled, the pre-charge disclosure must identify the Account Simple 0.1% component and its one-cent minimum, together with the base amount, estimated processor component, total card fee, and total card charge. The combined customer-paid fee remains subject to the business's configured maximum and any stricter limit enforced by the Service. Any Account Simple application-fee amount not recovered from the customer remains the responsibility of the business.
Account Simple Online - Terms of Service Amendment
Version 1.4 | Effective Date: August 19, 2026
This amendment supplements and forms part of the Account Simple Online Terms of Service Version 1.0 and Amendments Versions 1.1, 1.2, and 1.3. If this amendment conflicts with an earlier version, this amendment controls.
----------------------------------------
11.4 CUSTOMER-PAID CARD SURCHARGE
The business may enable a customer-paid surcharge for eligible credit-card payments processed through the Service. When enabled, the business selects one surcharge percentage between 2.00% and 5.00%; Account Simple recommends 3.00%. The surcharge is calculated from the base invoice or deposit amount, rounded to cents, and added to the customer's card charge. Debit and prepaid cards are excluded.
Account Simple LLC separately charges the business an application fee equal to 0.1% of the gross credit-card payment amount, with a minimum of one cent. This application fee is separate from the business-configured customer surcharge and is not included in the customer's card charge unless the applicable disclosure expressly states otherwise.
Before a card charge is confirmed, the customer must be shown the base amount, business-configured surcharge amount, separate Account Simple application-fee component, and total card charge. The customer must expressly consent to the disclosed total. Cash and check remain fee-free alternatives when offered by the business.
The business is responsible for selecting a surcharge permitted by applicable law, card-network rules, and its agreements with customers and payment providers. The business remains responsible for its merchant-of-record obligations, disclosures, taxes, accounting, refunds, and any surcharge restrictions applicable to its transactions.
Account Simple Online - Terms of Service Amendment
Version 1.5 | Effective Date: August 31, 2026
This amendment supplements and forms part of the Account Simple Online Terms of Service Version 1.0 and Amendments Versions 1.1, 1.2, 1.3, and 1.4. If this amendment conflicts with an earlier version, this amendment controls.
----------------------------------------
11.5 CURRENT CARD PROCESSING FEE STRUCTURE (CONSOLIDATED)
This section consolidates and controls over Sections 11.1 through 11.4 to the extent of any conflict, and reflects the fee structure currently implemented by the Service.
ACCOUNT SIMPLE APPLICATION FEE. Account Simple LLC charges an application fee equal to 0.1% of the gross amount charged to the card for each card transaction processed through the Service's invoicer or point-of-sale features, calculated per transaction and rounded to the nearest cent, with a minimum application fee of one cent. The gross amount charged includes any customer-paid card processing fee and any sales tax applied to that fee. This rate was established in Amendment Version 1.3 and remains unchanged.
CUSTOMER-PAID CARD PROCESSING FEE. A business may optionally enable a customer-paid card processing fee. This feature is disabled by default. When enabled, the business configures: (a) an estimated processor percentage, (b) an estimated processor fixed amount in cents, and (c) a maximum fee percentage. The fee is calculated from the estimated processor component and the Account Simple 0.1% component and is capped at the configured maximum fee percentage.
Section 11.4's description of a single business-selected surcharge percentage between 2.00% and 5.00% does not reflect the fee structure implemented by the Service and is superseded by this Section 11.5.
ELIGIBLE PAYMENT METHODS. The customer-paid card processing fee applies to all card transactions the Service can identify, including credit, debit, and prepaid cards. It does not apply to cash, checks, or other non-card payment methods, which remain fee-free alternatives. Each business is solely responsible for determining whether charging such a fee on any given card type is permitted under applicable law, card-network rules, and its agreement with its payment processor, and for making any disclosures those rules require.
PRESENTATION ON THE INVOICE. When a business has enabled the customer-paid card processing fee and a customer elects to pay by card, the fee is presented as a distinct line item on the invoice, identified as a card processing fee, and is included in the invoice subtotal. Selecting a non-card payment method removes the fee.
SALES TAX. Because the fee is presented as an invoice line item, any sales tax rate configured for the invoice is applied to the fee on the same basis as the other line items on that invoice. Where an invoice is exempt from sales tax, no tax is applied to the fee. The fee is calculated so that, after the addition of any applicable sales tax, the resulting total card charge recovers the business's configured estimated processing cost. Each business is solely responsible for determining whether sales tax is properly chargeable on a card processing fee in its jurisdiction and for remitting any tax it collects.
DISCLOSURE BEFORE CHARGE. Before a card charge is confirmed, the customer, or the operator confirming the charge on the customer's behalf, must be shown the base amount due, the card processing fee, any sales tax applied to that fee, and the resulting total card charge, and must expressly confirm that total. Any Account Simple application-fee amount not recovered from the customer remains the responsibility of the business.
REFUNDS OF THE CARD PROCESSING FEE. Payment processors generally do not return processing fees to a business when a charge is refunded. Accordingly, when a business refunds a card payment through the Service, the customer-paid card processing fee is not refunded by default; only the goods or services amount is returned to the customer. The Service provides the business an express, per-refund option to also refund the card processing fee. If the business exercises that option, the refunded fee amount, together with any sales tax previously collected on that fee, is returned to the customer at the business's own cost, and the business remains responsible for any processing fee already retained by its payment processor. Where the fee is refunded on a partial refund, the refunded fee is calculated in proportion to the portion of the goods or services amount being refunded and cannot exceed the fee originally collected and not already refunded. Any sales tax already collected on a fee that is not refunded remains subject to the business's own tax remittance obligations. Refunds of the Account Simple application fee remain proportional to the amount refunded.
All other terms in Sections 11.1 through 11.3 governing merchant-of-record status, Stripe fees, tax treatment, and business obligations remain in effect except as expressly modified above.
----------------------------------------
11.6 TRANSACTION CHECKPOINTS
A business may optionally set a "checkpoint" date for its ledger. Once set, transactions dated on or before the checkpoint date can no longer be created, updated, or deleted through the Service. This restriction does not apply to automated bank-transaction syncing, which instead automatically reverses the checkpoint if a synced transaction falls on or before it, so that synced bank data is never rejected. A checkpoint is reversible at any time by the business, which immediately unlocks all previously-locked transactions. No transaction is ever deleted or aggregated away as a result of a checkpoint; transaction records remain fully intact and viewable, only restricted from further changes while checkpointed.
